WALTHAM, MA — Morse, Barnes-Brown & Pendleton, P.C. kick off a series of engaging and interactive discussions on key topics for entrepreneurs in the life sciences sector on January 19, 2011. The ABCs for Life Sciences Entrepreneurs: From Start-Up to Exit is targeted to individuals looking to start or join a life sciences company now or in the future. All sessions will be held at the firm's Waltham law office from 5:30 to 6:30 pm (with complimentary refreshments). Though inter-related, each session stands alone, so individuals may attend some or all of the sessions according to interest level.
Session 1: The Role of Institutional Technology Transfer - January 19, 2011 - Eureka, we have an invention! Now what? Attorney Jeff Somers will talk about inventorship and ownership of inventions and how sources of research funding play into ownership. Topics will also include the role of the TTO/TLO, particularly in decisions about patenting and identification of commercialization options, and the continuing role of the inventor. In addition, the discussion will touch on issues relating to the commercialization of inventions, including common commercialization strategies such as licensing and spinout companies.
Session 2: Patents & Trademarks - February 3, 2011 - Attorneys Tom Dunn and Stan Chalvire will lead a discussion of intellectual property protection issues of interest to life sciences entrepreneurs and companies. Stan will discuss patent issues and the role that patents play in life sciences companies, focusing on the basics of patent protection. Tom will provide general information regarding filing on and obtaining trademarks, common pitfalls, and offensive and defensive strategies for dealing with competitors.
Session 3: Corporate Life Cycle of a Life Sciences Company - February 9, 2011- Attorney Mark Tarallo will focus on issues central to company formation, financing and exit strategies. Topics will include choice of entity (e.g., corporation vs. limited liability company); financing options such as institutional seed financing, corporate strategic partnerships, venture capital, and government grants and major transactions such as mergers, asset sales and IPOs.
Session 4: Operational Issues - February 23, 2011- Attorneys Christopher Perry and John Gallini will cover the issues that frequently arise in the day-to-day operations of life science companies. Topics will include employment (including wage and hours requirements) and immigration issues, as well as a variety of other routine but important considerations facing those tasked with company management.
